Corporate Secretary

About the role

We are seeking a Corporate Secretary to join our growing team in Cebu. The role is pivotal in ensuring strong corporate governance, regulatory compliance, and effective coordination with internal and external stakeholders.

Key responsibilities

• Ensure corporate governance and compliance with applicable local regulations, including SEC filings.
• Maintain and update statutory registers and corporate records.
• Coordinate and manage board and shareholder meetings.
• Prepare and draft minutes, resolutions, and related corporate documentation.
• Liaise with internal stakeholders and external regulatory authorities.
• Perform basic review of vendor agreements and standard commercial contracts.

Required profile

• Graduate of Juris Doctor (JD) and a licensed lawyer (mandatory).
• Minimum of 5–7 years of relevant experience in corporate secretarial and compliance functions.
• Exposure to legal or contract review work is preferred.
• Strong knowledge of Philippine corporate governance and regulatory requirements.
• Excellent communication and stakeholder management skills.
• Highly organized with strong attention to detail.
