Legal Officer – Corporate Secretary & Advisory

About the role

The Legal Officer will act as the Corporate Secretary for RCBC Leasing while providing legal advice and support to the organization. This role involves managing board and committee meetings, maintaining statutory records, and handling contract-related matters.

Key responsibilities

• Send notices and reminders for upcoming meetings and draft meeting agendas.
• Coordinate with various departments to collect agenda items and supporting materials.
• Distribute agendas, materials, and relevant documents to board members and departments.
• Attend meetings, take minutes, and prepare official minutes and certificates.
• Draft Secretary’s Certificates, certifications, and other corporate documents.
• File GIS, By‑Laws, and other statutory documents with SEC e‑fast and BSP.
• Maintain organized secretarial records, including collation and uploading to shared drives.
• Provide legal advisory services, including contract review and drafting.

Required profile

• Member of the Philippine Bar.
• Minimum of 1 year experience as a lawyer, either in‑house or at a law firm.
• Knowledge of banking industry regulations and corporate secretary duties is a plus.
