About the role
The Legal and Compliance Director reports to the Regional Counsel and works closely with internal and external stakeholders to design and execute a comprehensive legal and compliance strategy. The role ensures the Company meets all applicable laws, regulations, codes, and standards while providing expert legal counsel on contracts, employment matters, and other legal issues.
Key responsibilities
- Provide expert legal and regulatory guidance to support business decisions and manage organizational risk, covering corporate governance, employment law, contracts, investigations, disputes, and regulatory compliance.
- Draft, review, negotiate, and manage legal agreements with regulators, government agencies, external counsel, vendors, and business partners.
- Lead the development, implementation, and continuous improvement of the Company’s Legal and Compliance framework, including policies, controls, training, and awareness programs.
- Identify, assess, and mitigate legal and compliance risks, offering proactive guidance to business leaders and collaborating with Group Compliance.
- Manage regulatory relationships and compliance obligations with agencies such as SEC, PEZA, DOLE, SSS, PhilHealth, PAG‑IBIG, DOH, LGUs, and NPC; serve as Data Protection Officer when designated.
- Monitor regulatory developments, communicate required actions, and ensure ongoing adherence across the organization.
- Oversee compliance monitoring, incident management, investigations of breaches, corrective actions, regulatory submissions, and responses to inquiries.
- Support business units by reviewing legal documents, communications, licenses, and governance requirements, partnering with internal stakeholders and external counsel.
- Promote a strong culture of ethics, compliance, and good governance through training, awareness programs, and advisory support to leaders.
Required profile
- Extensive experience providing legal and regulatory guidance to senior management.
- Proven track record in drafting, negotiating, and managing complex legal agreements.
- Demonstrated ability to lead and enhance corporate compliance frameworks.
- Experience managing relationships with government agencies and regulatory bodies.
- Knowledge of data protection and privacy regulations, with the capacity to act as a Data Protection Officer.
