Independent Director – BSP Regulated Payment Entity

About the role

This position is for an Independent Director on the board of a Bangko Sentral ng Pilipinas (BSP) regulated Operator of Payment Systems. The role supports ByteDance’s Global Payments strategy by providing objective oversight of governance, risk management, and regulatory compliance.

Key responsibilities

• Act independently, free from conflicts of interest, and provide objective judgment.
• Chair either the Audit Committee or the Governance, Risk and Compliance Committee, as appointed by the Board.
• Oversee financial reporting integrity, internal controls, internal audit function, and external auditor performance (if Chair of Audit Committee).
• Provide board‑level oversight of enterprise risk, technology and cyber‑risk, outsourcing, AML/CFT, and consumer protection frameworks (if Chair of Governance, Risk and Compliance Committee).
• Ensure coordination between committees and maintain clear segregation of responsibilities.
• Monitor compliance with BSP regulations applicable to OPS entities, including governance, risk, AML/CFT, technology risk, and consumer protection.
• Serve as a credible interface with the BSP during regulatory engagements and audits.
• Attend quarterly board meetings and relevant committee meetings.

Required profile

• Demonstrated independence with no conflicts of interest related to management or controlling shareholders.
• Extensive experience in board governance, audit oversight, or risk and compliance leadership.
• Deep understanding of BSP regulatory framework, including MORPS and MORNBFI.
• Proven ability to interact constructively with regulators and supervisory bodies.
