Legal Counsel – Corporate Governance

About the role

The Legal Counsel (Corporate Governance) will ensure the company complies with all corporate governance standards, regulatory requirements, and internal policies. Acting as the primary liaison between the board, management, shareholders, and regulators, the role provides legal support and guidance across board‑related activities and the energy sector.

Key responsibilities

• Ensure compliance with corporate governance standards, regulatory requirements, and internal policies.
• Advise the board of directors on duties, responsibilities, and best governance practices.
• Prepare notices, agendas, and supporting documents for board, committee, and shareholder meetings.
• Record accurate minutes of meetings and maintain corporate records.
• Coordinate timely submission of resolutions and board actions to regulatory bodies.
• File corporate documents and disclosures required by the SEC, ERC, and other agencies.
• Maintain an organized system of corporate records, including minutes, contracts, agreements, and shareholder communications.

Required profile

• Juris Doctor or Bachelor of Laws (LL.B.) licensed to practice law in the Philippines.
• 5–7 years of experience in corporate law, governance, and regulatory compliance, preferably in the energy/power industry.
• Strong understanding of corporate governance principles and Philippine regulatory frameworks, including EPIRA and ERC rules.
• Ability to interact effectively with high‑level stakeholders such as board members and regulatory officials.

Required skills

• Familiarity with SEC filing system.
• Familiarity with ERC filing system.
