Legal Counsel

About the role

We are seeking a qualified Legal Counsel to join our corporate team in Makati City. The role involves ensuring full legal compliance across all business activities and providing strategic advice on high‑impact transactions.

Key responsibilities

• Ensure compliance with all applicable legal requirements, including PSE, SEC and DOE regulations.
• Provide legal advice on corporate and commercial transactions, such as project finance, IPOs, mergers and acquisitions.
• Draft and negotiate framework contracts with partners, study‑specific contracts with sponsors, and service provider agreements.
• Maintain and update the company’s legal documents, including statutes and internal procedures.
• Prepare purchase policy frameworks and manage tender processes.

Required profile

• Passed the Bar Exam.
• 3–5 years of experience as a corporate legal counsel or in‑house lawyer.
• Excellent organizational, interpersonal and communication abilities.
• Analytical mindset, strong attention to detail and high trustworthiness.
• Willingness to work onsite in Makati City.
