Senior Corporate Counsel – Associate General Counsel Manager

About the role

We are seeking an experienced, business‑oriented Associate General Counsel Manager to provide legal support across multiple business functions. The role partners closely with leadership and cross‑functional teams to deliver practical legal guidance on commercial transactions, corporate governance, privacy, intellectual property, employment matters and litigation while protecting the organization’s interests and ensuring regulatory compliance.

Key responsibilities

• Provide legal advice on corporate and commercial matters to business leaders and internal stakeholders.
• Identify legal risks with business units and develop practical solutions.
• Support and enforce legal policies, procedures and governance standards.
• Assist with corporate governance, entity management, public filings and board‑related matters.
• Monitor legislative and regulatory developments and advise on business impacts.
• Support privacy and data‑protection compliance initiatives, including policy and process updates.
• Participate in intellectual property matters such as patent and trademark reviews, infringement assessments and dispute support.
• Advise on employment and labor law issues in partnership with HR and management.
• Support litigation, investigations, subpoena responses and eDiscovery activities.
• Draft, review, negotiate and interpret a wide range of commercial agreements, including software licensing, SaaS, professional services and online terms.
• Work with stakeholders to resolve contractual issues and facilitate successful negotiations.
• Serve on the board of Philippine legal entities, acting as Company Secretary and potentially as a Director.

Required profile

• Bachelor's degree in Law or a related field.
• Licensed lawyer.
• 6–8 years of relevant legal experience.
• Strong background in IT, technology, software or related industries.
• Proven experience in contract drafting, review, negotiation and risk assessment.
• Knowledge of corporate governance, privacy regulations, commercial transactions and compliance matters.
• Excellent communication, stakeholder management and problem‑solving skills.
