M&A Attorney – Remote Contract

About the role

We are seeking an experienced M&A Attorney to join a leading technology, information and internet company on a contract basis. The position is fully remote, allowing you to work from anywhere while providing high‑level legal support for mergers, acquisitions and other corporate transactions.

Key responsibilities

• Draft, review and negotiate purchase agreements, asset purchase agreements and stock purchase agreements.
• Conduct comprehensive due diligence on target entities and identify legal risks.
• Advise on corporate governance, regulatory compliance and securities law matters related to M&A.
• Collaborate with finance, tax and operations teams to ensure smooth transaction execution.
• Maintain transaction documentation that meets legal standards and mitigates liabilities.

Required profile

• Juris Doctor (JD) from an accredited law school.
• Active membership in a state bar with at least three years of M&A experience.
• Proven experience with domestic and cross‑border M&A transactions.
• Strong analytical ability to interpret complex legal documents.
