Legal Counsel – Corporate Governance & Regulatory Compliance

About the role

The Legal Counsel will ensure the company complies with corporate governance standards, manage board‑related activities, and provide comprehensive legal support. This role acts as the primary liaison between the board of directors, management, shareholders, and regulators, safeguarding adherence to all applicable laws and ethical standards.

Key responsibilities

• Ensure compliance with corporate governance standards, regulatory requirements, and internal policies.
• Advise the board of directors on duties, responsibilities, and best governance practices.
• Prepare notices, agendas, and supporting documents for board, committee, and shareholder meetings; record accurate minutes and maintain corporate records.
• Coordinate timely submission of resolutions and board actions to relevant regulatory bodies.
• File corporate documents and disclosures required by the SEC, ERC, and other agencies, ensuring industry‑specific compliance for the energy and power generation sector.
• Maintain an organized system of corporate records, including minutes, contracts, agreements, and shareholder communications.

Required profile

• Juris Doctor or LL.B., licensed to practice law in the Philippines.
• 5–7 years of experience in corporate law, governance, and regulatory compliance; exposure to the energy/power industry preferred.
• Strong understanding of corporate governance principles and Philippine regulatory frameworks.
• Familiarity with energy sector laws such as EPIRA and ERC regulations.
