Deals Documentation & Compliance Officer

About the role

The Deals Documentation & Compliance Officer will support Maplecrest Group Inc. and its subsidiaries in structuring, drafting, and finalising deal documentation, while ensuring ongoing contractual and regulatory compliance across the organisation.

Key responsibilities

• Review, craft, and negotiate deal structures and related legal documentation.
• Oversee execution and post‑closing compliance with contractual and regulatory requirements.
• Prepare non‑deal documentation for borrowings, products, and services with banks, suppliers, and customers.
• Provide legal research and advisory services on tax, corporate, and deal‑structuring matters.
• Perform corporate secretary duties, including drafting board and shareholder meeting minutes and issuing certificates.
• Monitor compliance with regulatory and franchise requirements.
• Manage contract lifecycle, including monitoring, reporting, and renewal.
• Handle claims or legal cases involving any member of the group.
• Assist with company incorporations, amendments to articles of incorporation, and by‑law updates.

Required profile

• Law degree and relevant bar admission.
• Proven experience in corporate/commercial law, deal documentation, and regulatory compliance.
• Strong negotiation and drafting abilities.
• Ability to work with multiple internal and external stakeholders.
• Excellent attention to detail and organisational skills.
