Independent Director – SEC Regulated Financing Entity

About the role

This is a senior board position within the Global Payments team, responsible for providing independent oversight of financial integrity, governance, risk management, and regulatory compliance for an SEC‑licensed financing company operating in the Philippines.

Key responsibilities

• Act as an independent director, exercising objective judgment free from any conflict of interest.
• Serve as Chair of either the Audit Committee or the Governance, Risk and Compliance Committee, as appointed by the Board.
• If Chair of the Audit Committee: oversee financial statement accuracy, internal controls, internal audit function, and external auditor performance.
• If Chair of the Governance, Risk and Compliance Committee: oversee corporate governance framework, enterprise risk management, SEC regulatory compliance, and related policies.
• Coordinate with the Audit Committee on risk, compliance, and internal control matters.
• Provide guidance on regulatory expectations, audits, and SEC examinations.
• Serve as a liaison with SEC regulators, auditors, and other oversight bodies.
• Attend quarterly board meetings and relevant committee meetings.

Required profile

• Proven experience as an independent director or senior board member.
• Strong understanding of SEC Revised Code of Corporate Governance and financing‑company regulations.
• Demonstrated ability to provide objective oversight of financial statements, internal controls, and risk management.
• Ability to maintain independence in fact and appearance.
