Independent Director – SEC Regulated Financing Entity

About the role

We are looking for an experienced Independent Director to join the board of an SEC‑licensed financing company that supports ByteDance’s Global Payments platform. The role provides objective oversight of financial integrity, governance, risk management and regulatory compliance.

Key responsibilities

• Act independently, free from any conflict of interest, and exercise objective judgment in board deliberations.
• Serve as Chair of either the Audit Committee or the Governance, Risk and Compliance Committee, as appointed by the Board.
• If Chair of the Audit Committee: oversee the accuracy of financial statements, internal controls, internal audit function and external auditor performance.
• If Chair of the Governance, Risk and Compliance Committee: oversee corporate governance framework, enterprise risk management, SEC regulatory compliance and related policies.
• Coordinate with the Audit Committee on risk, compliance and internal control matters without assuming audit responsibilities.
• Provide guidance on regulatory expectations, audits and SEC examinations, and act as a liaison with SEC regulators and oversight bodies.
• Attend quarterly board meetings and relevant committee meetings, and participate in special meetings on audit, regulatory or governance issues.

Required profile

• Proven experience in board or senior governance roles within regulated financial institutions.
• Deep understanding of SEC Revised Code of Corporate Governance and related financing regulations.
• Demonstrated independence and ability to provide unbiased oversight.
• Strong track record in financial reporting, internal control assessment, risk management and compliance oversight.
