Independent Director – Board Member for Payment Systems

About the role

We are looking for an Independent Director to join the board of a Bangko Sentral ng Pilipinas‑regulated operator of payment systems. The role provides objective oversight of governance, risk and regulatory compliance for a global payments platform supporting ByteDance’s products worldwide.

Key responsibilities

• Act independently of management and shareholders, ensuring no conflicts of interest.
• Chair either the Audit Committee or the Governance, Risk and Compliance Committee, as appointed by the board.
• Oversee integrity of financial reporting, internal controls, internal audit function and external auditor performance (if chairing the Audit Committee).
• Provide board‑level oversight of enterprise risk, technology and cybersecurity risks, outsourcing, AML/CFT and consumer protection frameworks (if chairing the Governance, Risk and Compliance Committee).
• Ensure compliance with BSP regulations applicable to payment system operators, including governance, risk, AML/CFT and technology risk requirements.
• Serve as a credible liaison with the BSP during examinations, supervisory communications and audits.
• Participate in quarterly board and committee meetings, contributing an independent voice to strategic deliberations.

Required profile

• Proven experience in board‑level oversight of governance, risk management and regulatory compliance.
• Ability to act independently and maintain objectivity free from conflicts of interest.
• Familiarity with financial‑sector regulation, preferably BSP or comparable supervisory frameworks.
• Strong understanding of audit processes, internal control systems and AML/CFT requirements.
