Legal Counsel

About the role

The Legal Counsel will be responsible for managing the company’s contractual relationships, providing legal advice across corporate, labor and regulatory matters, and supporting due‑diligence activities. This role ensures all legal documents comply with Philippine law and relevant international standards.

Key responsibilities

• Draft, review and negotiate a wide variety of commercial agreements, including service agreements, software licensing, NDAs and vendor contracts.
• Ensure contracts comply with Philippine law, industry standards and applicable international standards, and identify legal risks with mitigation strategies.
• Maintain the contract repository and manage timely renewals or terminations.
• Provide clear, concise legal opinions on corporate, labor, regulatory and other matters to support business decisions.
• Conduct due diligence on potential partners and suppliers, and assist in creating or refining standard contract templates and playbooks.

Required profile

• Proven experience in drafting and negotiating commercial agreements.
• Strong knowledge of Philippine law and relevant international standards.
• Ability to assess legal risks and propose effective mitigation measures.
• Capability to deliver concise legal advice on corporate, labor and regulatory issues.
• Experience with due‑diligence processes and contract template development.
