Independent Director – SEC Regulated Financing Entity

About the role

ByteDance’s Global Payments team is seeking an experienced Independent Director to join the board of an SEC‑licensed financing company in the Philippines. The role provides strategic oversight of financial integrity, governance, risk management, and regulatory compliance across the company’s cross‑border payment platform.

Key responsibilities

• Serve as an independent director, maintaining objectivity and independence in fact and appearance.
• Chair either the Audit Committee or the Governance, Risk and Compliance Committee, as appointed by the board.
• Oversee the accuracy of financial statements, regulatory disclosures, and the effectiveness of internal control systems.
• Monitor the internal audit function and the performance of external auditors.
• Provide board‑level oversight of corporate governance frameworks, enterprise risk management, and compliance with SEC regulations.
• Coordinate with the Audit Committee on risk, compliance, and internal control matters.
• Act as a liaison with SEC regulators, auditors, and other oversight bodies.
• Participate in quarterly board meetings and relevant committee meetings.

Required profile

• Proven experience as an independent director or senior board member in a financing or regulated entity.
• Deep understanding of the SEC Revised Code of Corporate Governance and related regulations.
• Demonstrated ability to exercise objective judgment without conflicts of interest.
• Strong background in financial oversight, risk management, and regulatory compliance.
