Independent Director – BSP‑Regulated Payment Entity

About the role

The Global Payments team at ByteDance is seeking an experienced Independent Director to join the board of a BSP‑regulated Operator of Payment Systems (OPS). This senior governance position provides objective oversight of risk, compliance and regulatory matters for a cross‑border payment platform serving all ByteDance products worldwide.

Key responsibilities

• Act independently of management and controlling shareholders, maintaining freedom from conflicts of interest.
• Serve as Chair of either the Audit Committee or the Governance, Risk and Compliance Committee, as appointed by the Board.
• Provide oversight of financial reporting integrity, internal controls, internal audit function and external auditor performance when chairing the Audit Committee.
• Oversee enterprise risk frameworks, technology and cybersecurity risk, AML/CFT compliance and consumer protection when chairing the Governance, Risk and Compliance Committee.
• Ensure board‑approved governance frameworks, risk appetite statements and internal control systems are effective.
• Guide compliance with Bangko Sentral ng Pilipinas (BSP) regulations applicable to OPS entities.
• Act as a credible interface with the BSP during examinations, supervisory communications and audits.
• Participate in quarterly board and committee meetings.

Required profile

• Proven experience as an independent director or senior board member in a regulated financial or payments institution.
• Deep understanding of BSP regulations, especially MORPS and MORNBFI.
• Demonstrated ability to provide objective judgment and maintain independence from management.
• Experience chairing audit or governance, risk and compliance committees.
• Strong knowledge of AML/CFT, technology risk, and consumer protection frameworks.
