Paralegal – Economic Development & Transaction Support (Remote)

About the role

We are looking for a highly organized Paralegal to support our economic development and incentives practice as well as corporate and transactional matters. The role is fully remote, full‑time, and involves managing complex document flows, version control, and project coordination for high‑stakes deals.

Key responsibilities

• Assist in drafting, reviewing, and organizing incentive agreements such as FILOT and JDC.
• Coordinate with government agencies, economic development offices, and client stakeholders to ensure compliance.
• Maintain closing checklists, project timelines, and performance reporting for incentive packages.
• Prepare corporate governance documents and filings for domestic and multi‑jurisdictional entities.
• Draft and revise commercial agreements, NDAs, service agreements, and vendor contracts.
• Support M&A processes by managing data rooms, diligence materials, and closing binders.
• Monitor project status trackers for 20+ active matters and identify bottlenecks.
• Manage document version control and maintain organized digital filing systems.

Required profile

• 3–5 years of experience in business transactions, M&A, or a related legal environment.
• Proven ability to handle document‑heavy workflows with high accuracy.
• Strong attention to detail and ability to work independently.
• Comfortable transitioning between calm periods and fast‑paced deal cycles.

Required skills

• Advanced proficiency in Microsoft Word.
• Experience with AI tools for document processing.
• Adobe/PDF management expertise.
