Legal Counsel – Corporate Housekeeping & Licensing

About the role

Coins, the leading crypto brand in the Philippines, is seeking a Legal Counsel to oversee corporate housekeeping and licensing across its group of entities. You will provide actionable legal advice, manage corporate records, and drive licensing initiatives in a fast‑moving, compliance‑focused environment.

Key responsibilities

• Provide clear counsel on corporate governance, housekeeping, and licensing matters for all group entities.
• Maintain up‑to‑date corporate records, including articles of incorporation, bylaws, stock books, board minutes, and secretary’s certificates.
• Prepare and file corporate and regulatory submissions with the SEC, BSP, BIR, LGUs, and other agencies, covering annual reports, amendments, capital changes, and beneficial‑ownership filings.
• Lead end‑to‑end licensing efforts, handling new applications, variations, renewals, and regulator queries for BSP, SEC, and other domestic or foreign regulators.
• Manage documentation for intra‑group transactions, restructurings, entity incorporations/dissolutions, share transfers, capital injections, and cross‑border structuring.
• Track and calendar corporate and licensing deadlines, escalating compliance risks proactively.
• Offer practical legal advice that balances risk tolerance with strategic business goals.
• Collaborate with an international legal team, external counsel, and corporate secretarial providers across jurisdictions.

Required profile

• 1‑5 years of post‑qualification experience in corporate law, corporate secretarial practice, and regulatory compliance in the Philippines.
• Working knowledge of key government agencies such as the BSP, SEC, BIR, AMLC, and LGUs; BSP licensing experience is a strong advantage.
• Meticulous attention to detail with proven ability to manage documents and deadlines across multiple entities.
• Excellent judgment, analytical rigor, and clear communication skills.
• Team‑player attitude, agility, and ability to thrive in a high‑intensity environment.
• Self‑starter with a passion for payments and cryptocurrency, requiring minimal supervision.
• Fluency in English with outstanding writing and communication abilities.
